4.1.3.
The Licensee’s obligations under this Licence are subject to a cooling off period of
seven days which will commence on formation of this Licence. The Licensee is
entitled to cancel the booking within the cooling off period of seven days without
incurring any charges.
4.1.4.
If, prior to the start of the Residential Year but following the expiry of the seven
day cooling off period, the Licensee for whatever reason cancels

his/her
acceptance of a place in the Halls of Residence by notifying the University in
writing

, the University will retain the full amount of the Deposit to contribute to
the administrative costs of seeking alternative occupation of the Room. Where the
University (having made reasonable endeavours to do so) fails to find a
replacement licensee (who has not otherwise accepted a place in Halls of
Residence) by the start of the Residential year, the Licensee shall pay to the
Universitywithin 14 days of the University’s demand the full Licence Fee.
4.1.5.
Subject to clause 4.1.4 where the Licensee for whatever reason fails to take up
occupation of the Room at the start of the Residential Year as identified in the Offer
Letter or at any later date previously notified in writing

to the University, the
University shall be entitled to terminate this Licence and to retain the full amount
of the Deposit and the Licensee shall pay the full Licence Fee to the University
within 14 days of the University’s demand for the Licence Fee. The University shall
take reasonable steps to find a replacement licensee as indicated in clause 4.2.4.
4.1.6.
Except as provided in clauses 4.1.4 and 4.1.5 above, the Deposit shall be held
by the University during the Residential Year as security for performance of the
Licensee’s obligations and against damage to the Room and/or the Common Areas
and/or damage to the University’s property within the Halls of Residence caused by
the Licensee or otherwise by the Licensee’s breach of this Licence.
4.1.7.
The Licensee will not receive interest on the Deposit.
4.1.8.
The University has the right at any time to deduct from the Deposit all
outstanding sums due to it under this Licence including but not limited to any fines
imposed for breach of the University’s Regulations on Student Discipline in relation
to conduct in Halls of Residence. The University shall take reasonable steps to
inform the Licenseewhen a deduction ismade.
4.1.9. (a) Subject to the right of the University to deduct any outstanding amounts
payable under this Licence, the Deposit will be repaid to the Licensee
within 28 days following the end of the Residential Year or as otherwise
notified by the University.
(b) The payment obligations in clauses 4.1.4 and 4.1.5 shall not apply
where the Licensee’s offer for a place to study at the University is
withdrawn by the University (unless such withdrawal is as a result of
inaccurate information being provided by the Licensee).
4.2.
The Licence Fee
4.2.1. (a) The Licence Fee is determined annually by the University and will be notified
to the Licensee prior to acceptance of the offer of a place in Halls of
Residence. The Licence Fee for the Residential Year shall be paid in three
instalments within the time specified on the University’s invoice.
(b) If the Licensee fails to pay in full any instalment of the Licence Fee by the
relevant due date, the full amount of the outstanding balance of the Licence
Fee for the Residential Year becomes immediately due and payable and the
Licensee shall pay such amount within 7 days of the University’s demand
for payment. If the Licensee fails tomake payment within the 7-day period
the Universitymay terminate this Licence in accordance with clause 7.2 and
the Licensee remains liable for payment of the outstanding balance of
Licence Fee for the Residential Year. If the University, using reasonable
